The Buyer may purchase goods from the Shop only after agreeing to the Terms. By confirming that they have read the Terms, the Buyer undertakes to comply with them. By purchasing goods, the Buyer agrees to their application and confirms that they understand them. A Buyer who has not read or understood the Terms, or does not agree with them, may not purchase from the Shop.
1.3. Goods are sold and delivered only within the territory of the Republic of Lithuania.
1.4. The Seller may amend the Terms. Please read them carefully each time before ordering or purchasing goods. Amendments take effect upon publication in the Shop. Any use of the Shop after amendments are published is deemed to constitute acceptance of all amendments.

CONCLUSION OF THE SALES CONTRACT

2.1. Only registered Buyers may purchase goods from the Shop. Before registering, the Buyer must read the Shop’s Privacy Policy. Registration is deemed to confirm that the Buyer has read and agrees with the Privacy Policy.
2.2. Registration is completed by filling in the registration form and providing the required information marked on it (Registration Data). Registration may be made only in the Buyer’s own name. The Buyer is responsible for the accuracy, confidentiality and safekeeping of their Registration Data.
2.3. To purchase goods, the Buyer places an order in the Shop. A separate sales contract is concluded for each order.
2.4. A sales contract between the Buyer and Seller is deemed concluded when the Buyer: (i) creates a basket following the Seller’s instructions; (ii) provides a delivery address; (iii) reads the Terms, selects a payment method and pays for the order; and (iv) the Seller confirms the order by displaying and/or sending an order confirmation and an invoice, if requested. A Buyer who disagrees with all or any part of the Terms must not place an order.
2.5. The contract remains in force until all obligations under it have been fulfilled. Once the order is confirmed, the Buyer undertakes to pay for and accept the goods ordered. The sales contract is deemed fulfilled when the goods are handed over to the Buyer in accordance with the Terms and Lithuanian law.
2.6. The Seller may decline an order if the requested goods are unavailable, the Buyer does not meet the purchasing requirements, the Buyer has not accepted the Terms, the Buyer is making wholesale purchases, and/or for other reasons communicated individually. Wholesale purchases may include unusually large quantities, unusually frequent orders, or other established criteria.

BUYER’S RIGHTS AND OBLIGATIONS

3.1. The Buyer has the right to:
3.1.1. Purchase goods from the Shop in accordance with the Terms, the Seller’s other instructions and Lithuanian law.
3.1.2. Return and/or exchange defective goods or goods supplied with missing or incorrect components.
3.1.3. If the Buyer is a consumer, withdraw from the sales contract concluded with the Seller through the Shop by notifying the Seller in writing within 14 (fourteen) days of receiving the goods. The Buyer must then return the goods to the Seller. Withdrawal and return are permitted only if the goods have not been used or damaged and their appearance has not materially changed, except for changes to the goods or packaging necessary to inspect them. This restriction does not apply to the return of defective goods. The procedure for withdrawal and return is set out in the section “Right of withdrawal. Returns”.
3.1.4. Exercise other rights provided in the Terms and/or Lithuanian law.
3.2. The Buyer undertakes to:
3.2.1. Pay the price of the goods and delivery, together with any other charges specified when concluding the contract, and accept the ordered goods.
3.2.2. If the Buyer’s Registration Data changes, the Buyer should update it promptly.
3.2.3. Refrain from wholesale purchases and from using the Shop in any way that could jeopardise its proper operation, security or integrity, or restrict other persons’ ability to use it.
3.2.4. Comply with the other requirements laid down in the Terms and
the laws of the Republic of Lithuania.

SELLER’S RIGHTS AND OBLIGATIONS

4.1. The Seller has the right to:
4.1.1. Restrict or suspend the Buyer’s access to the Shop and cancel their registration without prior notice if the Buyer attempts to harm the Shop’s operation or stability and/or breaches the essential obligations specified in clauses 3.2.1, 3.2.2 and 3.2.3. The Seller is not liable for any related losses incurred by the Buyer.
4.1.2. Restrict wholesale purchases.
4.1.3. In significant circumstances, temporarily suspend or permanently cease the Shop’s operations, change the Shop or any part of it and any of its content, restrict purchases, change its web address or limit the number of registered Buyers without prior notice. The Seller is not liable for any adverse consequences for the Buyer arising from these actions. This clause does not apply to sales contracts already concluded as defined in clause 2.4.
4.1.4. Amend the Terms, product prices, purchasing conditions and/or any other instructions relating to the Shop. Changes are announced in the Shop. This clause does not apply to sales contracts already concluded as defined in clause 2.4.
4.2. The Seller undertakes to:
4.2.1. Make efforts to enable the Buyer to use the Shop’s services properly. The Seller does not guarantee uninterrupted operation or error-free data transmission. The Seller is liable for the Buyer’s direct losses arising from malfunctions of the Shop and/or data transmission errors if caused by the Seller’s intentional acts.
4.2.2. Respect the Buyer’s privacy and keep their data confidential, except in the cases provided for by Lithuanian law and the Shop’s Privacy Policy.
4.2.3. If significant circumstances prevent the Seller from supplying the ordered goods (for example, technical problems or third-party fault resulting in incorrect prices, quantities or other essential information being displayed, or inability to deliver the goods), offer equivalent goods or goods with characteristics as similar as possible. The parties agree that, if the Buyer declines such goods, the Seller will refund the amount paid within 14 working days of receiving the Buyer’s refusal.

PRODUCT PRICES AND PAYMENT

5.1. Prices in the Shop and/or order are stated in the national currency, euros, including VAT (value added tax).
5.2. Goods are sold at the prices applicable in the Shop when the order is placed. The specific prices and total amount payable are shown once the basket has been created. If the Buyer disagrees with the price shown, they must not continue placing the order.
5.3. In exceptional cases involving errors in technological systems, if the actual selling price is lower than the price displayed in the Shop, the Seller sells the goods at the lower price. If the actual selling price is higher than the displayed price, the Seller may either reject the order or ask whether the Buyer agrees to purchase at the higher price.
5.4. Delivery charges are not included in the product price displayed in the Shop. The Buyer must pay the delivery charge applicable to the selected delivery method. Delivery is free for purchases of EUR 50 or more.
5.5. Purchases from the Shop may be paid for by:
5.5.1. advance bank transfer to the account specified by the Seller using the Buyer’s online banking service;
5.5.2. the www.montonio.com platform;
5.5.3. Stripe.
5.6. When using these payment methods, the Buyer will be redirected to their online banking or card operator’s website to confirm the prepared payment form and/or provide any additional payment information required. Login details and information entered on those websites are used only for payment procedures and are not displayed or disclosed to the Seller. Once payment is made, the result is displayed to the Buyer in the Shop.
5.7. By accepting the Terms, the Buyer agrees that purchase documents (invoices) may be provided electronically to the email address entered during registration and/or in the Seller’s account, from which the Buyer may download and/or print them.

DELIVERY OF GOODS

6.1. Goods are delivered only within Lithuania by DPD courier and/or to DPD parcel lockers for the fee specified in the Shop.
6.2. Delivery charges depend on the delivery method. Delivery is free for purchases of EUR 50 or more.
6.3. Goods in stock are usually delivered within 5 working days after order confirmation. If goods are out of stock, the Buyer will be informed of the estimated delivery time. The Seller undertakes to make every effort to deliver as soon as possible. The Seller does not guarantee that delivery will always take place within the periods stated in the Terms, elsewhere in the Shop or individually to the Buyer, particularly where goods are not in the Seller’s warehouses. Before ordering, please consider public holidays and non-working days in Lithuania and Europe, which may cause delivery delays of 1–2 working days.
6.4. The estimated delivery date is specified in the Seller’s order confirmation.
6.5. Goods delivered to a DPD parcel locker must be collected within the period specified in the courier’s SMS message. When the parcel arrives at the selected locker, the courier sends collection codes by SMS and/or email. If the goods are not collected within that period, the Seller cancels the order and terminates the sales contract without prior notice. Amounts paid are refunded within 14 (fourteen) calendar days of cancellation.
6.6. When goods are delivered to the specified address, the Buyer must record any discrepancies in quantity, quality or assortment on the delivery confirmation or the delivery person’s forms, immediately notify the Seller using the telephone number or email address in these Terms, and may refuse to accept the goods.
6.7. If the Buyer has no complaints, they must sign the delivery person’s forms. The goods are then deemed properly delivered and of satisfactory quality.
6.8. If the packaging is damaged on delivery to the specified address but there are no discrepancies in quantity, quality or assortment, the Buyer must record the packaging damage on the delivery confirmation or the delivery person’s forms. In that case, the goods are deemed delivered in damaged packaging, but their quantity, quality and assortment comply with the sales contract and delivery is deemed properly completed.
6.9. The Buyer undertakes to accept the goods personally. Identification may be requested upon handover to verify the Buyer’s identity. If another person will collect the goods, the Buyer must notify the Seller in advance.
6.10. Once goods are delivered to the address specified by the Buyer, they are deemed handed over to the Buyer, whether accepted by the Buyer or another person at that address. If the Buyer cannot collect the goods personally and they are delivered to the specified address using the other details provided by the Buyer, the Buyer may not claim that the Seller delivered to an incorrect recipient. If goods are not delivered on the scheduled date, the Buyer must notify the Seller immediately and no later than the following day. Otherwise, the Buyer loses the right to make claims against the Seller concerning late delivery and/or non-delivery.
6.11. The Seller is released from liability for failure to meet delivery deadlines if non-delivery or delay results from the Buyer’s fault or circumstances attributable to the Buyer.

PRODUCT QUALITY AND WARRANTY

7.1. The characteristics of goods are generally stated in each product description. If characteristics or properties stated in the title conflict with those in the description, the information in the description is deemed correct.
7.2. The Seller is not liable for differences between the colour, shape or other parameters displayed in the Shop and the actual size, shape or colour of the goods caused by the Buyer’s electronic devices or other technical reasons, taking into account reasonably possible variations in appearance.
7.3. Unless otherwise stated in the Shop, goods are covered by the standard 2-year quality warranty. A different warranty period and other conditions may be specified in the product descriptions.

RIGHT OF WITHDRAWAL. RETURNS

8.1. The Buyer has no right to withdraw from the sales contract and return the following goods to the Seller:
8.1.1. goods that do not meet the conditions in clause 8.4;
8.1.2. non-defective cosmetic products that the Buyer has already started using;
8.1.3. packaged goods unsealed after delivery that are unsuitable for return for hygiene or health protection reasons;
8.1.4. other goods that the Seller may refuse to accept under the list in Article 6.228(10)(2) of the Civil Code.
8.1. The Buyer (consumer) may withdraw from a sales contract concluded by electronic means without giving a reason within 14 (fourteen) days of delivery (receipt), as provided in clause 3.1.3. To withdraw, the Buyer must send a freely worded notice clearly stating the intention to withdraw to info@dracell.lt. The Buyer may also use the model withdrawal form approved by Order No 1R-154 of the Lithuanian Minister of Justice of 30 April 2014, available at https://www.e-tar.lt/portal/lt/legalAct/dad7f330d05511e3a8ded1a0f5aff0a9. When submitting the withdrawal request, the Buyer provides their bank account details and attaches proof of purchase from the Seller (an invoice, payment card statement or other document; the Purchase Document). Where several goods were purchased under one contract, the right of withdrawal applies to all goods or to one or more of them.
8.2. Goods must be returned using a parcel delivery service no later than 14 (fourteen) days after the Seller is notified of withdrawal. Return arrangements must be agreed individually in advance by email at info@dracell.lt or telephone on +370 6470 4470. The Buyer is responsible for suitable packaging and bears the direct costs of returning the goods.
8.3. The price of the goods, including delivery charges paid by the Buyer, is refunded to the account used for payment no later than 14 (fourteen) days after the Buyer’s withdrawal notice. However, the Seller may withhold the refund until the goods are received or proof of dispatch is provided. The Seller is not deemed to have breached the refund conditions if the refund cannot be transferred due to the Buyer’s fault, such as delayed return, failure to provide a bank account or incorrect information.
8.4. The following conditions apply when returning goods (except returns due to quality defects):
8.4.1. the goods must be in their original packaging in proper condition;
8.4.2. the goods must not have been damaged by the Buyer;
8.4.3. the goods must be unused and retain their saleable appearance (this clause does not apply to defective goods);
8.4.4. the goods must include the same components and accessories as when received by the Buyer;
8.4.5. the Buyer must provide the Purchase Document and complete a return request.
8.5. If defective goods with a specified shelf life were sold to the Buyer, the Buyer may make claims concerning defects within that period.
8.6. Where defective goods have been sold, the Buyer may also request replacement with goods of satisfactory quality, a price reduction or other remedies.
8.7. When returning or exchanging defective goods purchased in the Shop, you will be asked to complete a freely worded return or exchange request.
8.8. Defective goods are exchanged or returned in accordance with Lithuanian law in force at the time of purchase and these Terms.

LIABILITY OF THE PARTIES

9.1. The Buyer is responsible for the accuracy of Registration Data. If the Buyer fails to provide accurate data and/or update it in time, the Seller is not liable for the resulting consequences.
9.2. The Buyer is responsible for disclosing Registration Data to third parties. If a third party uses the Shop while signed in with the Buyer’s credentials, the Seller considers that person to be the Buyer.
9.3. The Buyer is responsible for their actions when using the Shop.
9.4. The Seller is released from liability where losses arise because the Buyer, despite the Seller’s recommendations and their own obligations, did not read the Terms and/or contract conditions although they had the opportunity to do so.
9.5. The Seller is liable for malfunctions of the Shop and the resulting direct losses or damage suffered by the Buyer or third parties if caused by the Seller’s intentional acts.
9.6. Where the Shop contains links to websites of other companies, institutions, organisations or individuals, the Seller is not responsible for their information or activities, does not supervise or control those websites and does not represent those companies or persons.
9.7. If damage occurs, the party at fault compensates the other party only for direct losses.
9.8. The Seller is not liable for failure to perform the sales contract and/or non-delivery or late delivery caused by third parties not engaged by the Seller to perform the contract, or by circumstances beyond the Seller’s control that could not reasonably have been foreseen when the contract was concluded and whose occurrence or consequences could not have been prevented (force majeure). If those circumstances last longer than 1 (one) month, the parties may terminate the sales contract by mutual agreement.

PROVISION OF INFORMATION

10.1. The Seller sends all notices and other information to the email address provided by the Buyer. They are deemed received 3 (three) hours after being sent.
10.2. The Seller is not liable for disruptions to internet connections or email service providers’ networks that prevent the Buyer from receiving the Seller’s emails.
10.3. The Buyer sends all notices, claims, requests and questions to the contact addresses listed in the Shop’s “Contact” section.

DISCOUNTS AND PROMOTIONS

11.1. The Seller may run promotions in the Shop at its discretion. During certain promotions, the Seller may give the Buyer discount vouchers (its own virtual currency). Details of promotions are provided in the Shop.
11.2. If the Buyer returns goods paid for partly or entirely with discount vouchers, those vouchers are cancelled and are not refunded. If goods were purchased with a discount or gift and the Buyer exercises their right to return them, only the amount actually paid for the goods is refunded.
11.3. The Seller may unilaterally change or cancel promotional conditions without separate notice, and change or cancel the conditions and procedures for earning and redeeming loyalty points when paying for goods. Any such changes or cancellations take effect upon publication.

FINAL PROVISIONS

12.1. The Buyer and Seller agree that all information provided on the Seller’s online shop website, including but not limited to these Terms, information about the Seller, the goods and services offered and their characteristics, the procedure for exercising the Buyer’s right to withdraw from the sales contract, and any product warranties provided by the Seller, is deemed supplied to the Buyer in writing.
12.2. These Terms and the sales contract between the Buyer and Seller are governed by the law of the Republic of Lithuania.
12.3. The Seller may at any time transfer its rights and obligations under these Terms to third parties without the Buyer’s consent or notice to the Buyer.
12.4. All disputes between the Buyer and Seller concerning the Terms are resolved by negotiation. If the parties cannot resolve a dispute within 15 (fifteen) days, it is finally settled in accordance with Lithuanian law.
12.5.
